1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Dream Care Marketing ("Company," "we," "us," or "our"), a partnership firm registered under UAM PB10D0017820, operating from Jalandhar, Punjab, India.
By accessing our website, contacting us for services, or entering into any service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3.1 Service Offerings

3.2 Service Delivery

3.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any service at any time. Existing clients will be notified of any significant changes that may affect ongoing projects.
4. Client Obligations
4.1 Information Accuracy
Clients must provide accurate, complete, and timely information necessary for service delivery, including:
- Business objectives and requirements
- Target audience and market information
- Brand guidelines and existing marketing materials
- Access to necessary accounts, platforms, and resources
- Timely feedback and approvals
4.2 Cooperation
Clients agree to cooperate fully with our team, respond promptly to requests for information, and provide necessary approvals within agreed timeframes. Delays caused by client non-cooperation may result in project delays and additional costs.
4.3 Legal Compliance
Clients warrant that their business activities, products, and services comply with all applicable laws and regulations. Clients are responsible for ensuring that all content and requirements provided to us are legal and appropriate.
4.4 Third-Party Rights
Clients must ensure that all materials, content, and information provided do not infringe on third-party rights, including copyrights, trademarks, and trade secrets.
5. Payment Terms
5.1 Fees and Billing
Service fees are as specified in individual proposals or service agreements. All prices are in Indian Rupees (INR) unless otherwise specified.
5.2 Payment Schedule
Standard payment terms include:
- 50% advance payment upon project commencement
- Remaining balance upon project completion
- Monthly retainer fees (for ongoing services) payable in advance
- Additional charges for scope changes or rush work
5.3 Late Payments
Payments are due within 15 days of invoice date. Late payments may incur a service charge of 2% per month or the maximum amount allowed by law, whichever is less.
5.4 Taxes
All fees are exclusive of applicable taxes, including GST. Clients are responsible for all taxes associated with the services received.
6. Intellectual Property
6.1 Client-Owned IP
Clients retain ownership of their existing trademarks, copyrights, and proprietary information. We respect and protect client intellectual property rights.
6.2 Work Product
Upon full payment, clients receive ownership rights to final deliverables specifically created for their project. This includes final designs, campaigns, and custom-created content.
6.3 Company IP
We retain ownership of:
- Our proprietary methodologies, processes, and tools
- Pre-existing intellectual property and resources
- General knowledge and expertise gained during the project
- Right to use completed work as portfolio examples (with client approval)
6.4 Third-Party Materials
Any third-party materials (stock photos, music, software) used in projects are subject to their respective licensing terms. Clients are responsible for ongoing license fees for third-party materials.
7. Confidentiality
We understand the sensitive nature of business information shared during our engagement. We commit to maintaining strict confidentiality regarding:
- Business strategies and plans
- Financial information and projections
- Customer data and market research
- Proprietary processes and trade secrets
- Any information marked as confidential
This confidentiality obligation continues indefinitely, even after the termination of our business relationship.
8. Limitation of Liability
8.1 Service Limitations
While we strive for excellence, marketing success depends on numerous factors beyond our control. We cannot guarantee specific results, including but not limited to:
- Sales increases or revenue growth
- Specific search engine rankings
- Social media engagement levels
- Market response to campaigns
8.2 Liability Cap
Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project or service in question.
8.3 Exclusions
We shall not be liable for:
- Indirect, consequential, or punitive damages
- Loss of profits or business opportunities
- Third-party actions or claims
- Force majeure events
- Client's failure to implement recommendations
9. Indemnification
Clients agree to indemnify and hold Dream Care Marketing harmless from any claims, damages, or expenses arising from:
- Client's breach of these Terms
- Inaccurate or misleading information provided by client
- Client's violation of applicable laws or third-party rights
- Client's use of deliverables in ways not approved by us
- Claims related to client's products, services, or business practices
10. Termination
10.1 Termination by Client
Clients may terminate services with 30 days written notice. Termination fees may apply based on work completed and resources committed.
10.2 Termination by Company
We may terminate services immediately in case of:
- Non-payment of fees
- Breach of these Terms
- Illegal or unethical client activities
- Abusive behavior toward our team
10.3 Post-Termination
Upon termination, clients must pay all outstanding fees. We will provide completed deliverables and transition assistance as commercially reasonable.
11. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, internet outages, or other unforeseeable events.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Jalandhar, Punjab.
13. Dispute Resolution
13.1 Negotiation
Parties agree to first attempt resolution through good faith negotiation before pursuing formal legal action.
13.2 Mediation
If negotiation fails, disputes may be resolved through mediation with a mutually agreed-upon mediator in Jalandhar, Punjab.
13.3 Legal Action
Any legal proceedings must be commenced within one year of the dispute arising and shall be conducted in the courts of Jalandhar, Punjab.
14. Modifications
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of modified Terms.
Major changes affecting existing client agreements will be communicated directly with reasonable notice period.
